About CONCLUSION
Conclusion is a Utrecht-based business-transformation and IT-services group structured as an ecosystem of independently operating specialist firms that together span strategy and design, engineering, enterprise applications, digital experience and managed services. Rather than a single integrated consultancy, it functions as a federation of more than thirty expert companies that collaborate on composite mandates while retaining their own brands, serving midsized and large clients concentrated in the Dutch (semi) public sector, including municipalities, healthcare, police and defence. A reputation survey conducted for the Computable 100 ranked Conclusion the number one IT service provider in the Netherlands. Revenue reached around EUR 240 million by 2019, with headcount growing from roughly 1,000 in 2015 to about 1,750 by the end of that year. The group has since extended beyond its home market into Germany, Belgium, Portugal and South Africa, the latter two anchoring its near and offshore delivery capacity.
Ownership journey
Conclusion was founded in 1997 in Utrecht as a link between business strategy and technology, and over the following two decades built out its distinctive multi-company ecosystem through organic growth and bolt-on acquisitions. The platform has been developed under private-equity ownership and an active management team that has funded a steady cadence of specialist acquisitions to widen its capabilities. In 2022 Capza provided senior debt financing through its Artemid Senior Loans III fund, extending credit rather than taking equity, to support the group's buy-and-build strategy and international expansion. Consistent with the Artemid strategy of bullet senior loans to mid-cap European borrowers, the facility carried a multi-year maturity and non-financial, ESG-linked criteria. No exit or refinancing event involving that facility has been recorded, and Conclusion remains an active, financed platform.
Under PE ownership
The Capza financing sat alongside a broader push to scale, and Conclusion has continued to enlarge its ecosystem from a few dozen firms toward more than forty expert companies, adding specialist businesses such as Hot ITem and Yellowtail over time. In 2023 the group secured a EUR 410 million sustainability-linked facility from a consortium of banks and funds, part of whose interest cost is tied to ESG key performance indicators, earmarked to structurally scale up near and offshore capacity in South Africa and Portugal. Management has used the additional capital to reinforce its Dutch market leadership while extending delivery into Germany and Belgium. Across the period the company sustained double-digit average annual growth, expanding revenue and headcount while diversifying internationally. The result is a larger, internationally spread platform whose growth has been driven by continued M&A and delivery-capacity investment rather than any change of control.
